1. Services
Zestparagon LLC provides digital services including web design, web development, search engine optimization (SEO), banner design, UI/UX design, and related services, as outlined in individual project proposals or service agreements.
2. Proposals and Agreements
All work is initiated based on a written proposal or service agreement. The scope of work, deliverables, timeline, and pricing are defined in that document. These Terms apply in conjunction with any such agreement.
3. Payment Terms
- A deposit (typically 50%) is required before work commences, unless otherwise agreed in writing.
- Remaining balance is due upon project completion and prior to final file/site delivery.
- Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month.
- Payments are accepted via bank transfer, PayPal, or other methods specified in your invoice.
4. Revisions
The number of included revisions is specified in the project proposal. Revision requests beyond the agreed scope will be quoted and billed separately.
5. Client Responsibilities
The client agrees to:
- Provide necessary materials, content, assets, and feedback in a timely manner
- Review and approve deliverables within agreed timeframes
- Ensure they have the legal right to use any content, images, or materials provided to us
Delays caused by the client's failure to provide materials or approvals on time may result in revised project timelines and/or additional fees.
6. Intellectual Property
Upon receipt of final payment in full:
- The client receives full ownership of the final deliverables
- Zestparagon LLC retains the right to display the work in its portfolio unless the client requests confidentiality in writing
Any third-party assets (stock images, fonts, plugins) remain subject to their respective licenses.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the project, and not to disclose it to third parties without prior written consent.
8. Warranties and Disclaimers
We warrant that our services will be performed professionally and with reasonable skill and care. We do not guarantee specific rankings, traffic levels, or business outcomes from SEO or marketing services, as these depend on factors outside our control.
Our website and services are provided "as is" without warranties of any kind beyond those expressly stated.
9. Limitation of Liability
To the maximum extent permitted by law, Zestparagon LLC's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
We are not liable for indirect, incidental, consequential, or special damages.
10. Cancellation
If a client cancels a project after work has commenced, the deposit is non-refundable. Any work completed up to the cancellation date may be invoiced at our standard hourly rate up to the total project value.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States. Any disputes shall be resolved in the courts of Sheridan County, Wyoming.
12. Changes to Terms
We reserve the right to update these Terms at any time. The revised Terms will be posted on this page with an updated date.
