1. SCOPE & APPLICATION

These Terms of Sale govern all service agreements, orders, and commercial transactions between Zestparagon LLC ("the Company") and any client ("the Client") purchasing digital services including web design, web development, SEO, banner design, UI/UX design, and any related services.

By placing an order or signing a project proposal with Zestparagon LLC, the Client unconditionally accepts these Terms of Sale in their entirety.

2. SERVICES & QUOTES

2.1 All services are provided based on a written quote or proposal submitted to the Client by Zestparagon LLC.

2.2 Quotes are valid for 30 days from the date of issue. After this period, the Company reserves the right to revise pricing.

2.3 A project is considered confirmed only after the Client has:

Signed or formally accepted the proposal in writing (email is acceptable), and
Paid the required deposit.

2.4 Any request for services not included in the original proposal will be subject to a separate quote and may affect the project timeline.

3. PRICING

3.1 All prices are quoted in US Dollars (USD) and are exclusive of any applicable taxes unless otherwise stated.

3.2 Zestparagon LLC reserves the right to adjust its prices at any time. Price changes do not apply to confirmed and ongoing projects for which a proposal has already been accepted.

3.3 Prices for recurring services (e.g., SEO retainers, maintenance plans) may be reviewed annually with a minimum of 30 days' written notice to the Client.

4. PAYMENT TERMS

4.1 Deposit A non-refundable deposit of 50% of the total project value is required before any work commences, unless a different arrangement is specified in writing in the project proposal.

4.2 Final Payment The remaining balance is due upon project completion and before delivery of final files, website access credentials, or go-live.

4.3 Recurring Services For ongoing monthly services, payment is due on the 1st of each month. Failure to pay within 7 days may result in a suspension of services.

4.4 Late Payments Invoices not settled within 14 days of the due date will incur a late payment fee of 1.5% per month on the outstanding amount, calculated from the original due date.

5. PROJECT DELIVERY

5.1 Delivery timelines are estimated and communicated in the project proposal. Zestparagon LLC will make every effort to meet agreed deadlines.

5.2 Timelines are contingent on the Client providing required materials, content, feedback, and approvals in a timely manner. Delays caused by the Client will result in a revised delivery schedule.

5.3 The project is considered delivered when the final files or live website are made available to the Client, regardless of whether the Client has reviewed them.

6. ACCEPTANCE & REVISIONS

6.1 The Client has 5 business days from delivery to review work and submit feedback or approval. Silence after this period is considered acceptance.

6.2 The number of included revision rounds is stated in the project proposal. Additional revisions beyond the included scope will be billed at the Company's standard hourly rate.

6.3 Revisions do not include new features, redesigns, or changes to the original agreed scope. These will be treated as new work and quoted separately.

7. CANCELLATION & REFUNDS

7.1 The Client may cancel a project at any time by written notice to Zestparagon LLC.

7.2 The initial deposit is non-refundable under all circumstances, as it covers planning, research, and resource allocation.

7.3 If cancellation occurs after work has commenced, the Client will be invoiced for all work completed up to the cancellation date, calculated at the Company's standard hourly rate. This amount shall not exceed the total agreed project price.

7.4 Zestparagon LLC reserves the right to cancel a project if the Client fails to provide required materials or payment within 30 days of a formal written request. In this case, all work completed to date will be invoiced.

7.5 No refunds are issued for delivered and accepted work.

8. INTELLECTUAL PROPERTY & OWNERSHIP

8.1 All intellectual property rights in the final deliverables transfer to the Client only upon receipt of full payment.

8.2 Until full payment is received, all work — including drafts, mockups, code, and designs — remains the exclusive property of Zestparagon LLC.

8.3 The Client grants Zestparagon LLC a non-exclusive right to display completed work in its portfolio, website, and marketing materials, unless the Client requests written confidentiality before the project begins.

8.4 Third-party assets (stock photos, premium fonts, licensed plugins) used in the project are subject to their own licensing terms. The Client is responsible for maintaining valid licenses after project handover.

9. WARRANTIES & LIABILITIES

9.1 Zestparagon LLC warrants that all services will be delivered with professional skill, care, and diligence.

9.2 The Company does not warrant specific outcomes such as search engine rankings, conversion rates, or revenue increases, as these are subject to external factors beyond its control.

9.3 Zestparagon LLC's maximum liability for any claim arising from a service shall not exceed the total amount paid by the Client for that specific service.

9.4 The Company is not liable for indirect, incidental, consequential, or punitive damages of any nature.

10. CONFIDENTIALITY

Both parties agree to treat as confidential all proprietary information, business data, and technical details shared during the course of the project, and not to disclose such information to any third party without prior written consent.

11. GOVERNING LAW & DISPUTES

11.1 These Terms of Sale are governed by the laws of the State of Wyoming, United States.

11.2 In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation.

11.3 If no resolution is reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Sheridan County, Wyoming.

12. AMENDMENTS

Zestparagon LLC reserves the right to update these Terms of Sale at any time. The current version is always available on this website. Changes do not apply retroactively to confirmed and ongoing projects.
